For many successful entrepreneurs, the single biggest financial event of their careers will be the sale of their company. If executed effectively, the sale can eclipse all the years of income in the business.

The challenge is that, with the rise of private equity firms, venture capital and strategic buyers, the sophistication level of buyers has risen exponentially. For the entrepreneur, it might be the first or second deal they have ever been a part of, while the buyer may have closed dozens or hundreds of deals this year!

It is absolutely essential that growth company entrepreneurs understand the M&A process intimately. Even if there are no plans to sell the company in the near term, there are critical matters that must be in place today to maximize the future value. While we say it is never too early to start thinking about the exit strategy, the most important work should occur 24 – 36 months before taking the company to market. Of course it can happen faster, but that is the ideal timeline.

In this program we teach:

  1. The 7 value drivers that most growth company entrepreneurs either miss or underestimate.
  2. What steps you can take today to maximize the future value of your company.
  3. The pros and cons of different buyer types including: Private Equity, Venture Capital, Institutional, and Strategic Buyers.
  4. The playbooks and tactics most common to each buyer group and how to mitigate any disadvantages.
  5. A variety of transaction types, clarifying the current landscape of confusing deal structures and explaining terms common to different buyer groups.

Most importantly we will go deep on the mindsets that are critical to success.

  • Much of the advantage gained by today’s savvy buyers over less sophisticated sellers revolves around the psychology of transactions.
  • We will also discuss in detail the mindset of post transaction life, whether you choose a future role in the organization or simply worked through a transition, planning for life after the deal is imperative.

JOHN RATLIFF

Managing Director

John Ratliff is a co-founder and partner of align5 and is responsible for leading all of the firm’s strategic initiatives.

Prior to founding align5, John was the President and CEO of Appletree Answers, and grew the company through a series of acquisitions to 24 US- based locations and 650 employees before it was sold to a strategic buyer in June 2012.

Chad Williams is a co-founder and partner of align5 and is responsible for leading the company’s business development, as well as content development and delivery.

Prior to founding align5, Chad practiced law for nearly 15 years, with a specialization in business law and mergers and acquisitions. Chad was a partner with Saul Ewing LLP, an AMLaw 200 law firm based in Philadelphia, PA, where he was a leader in the Business and Finance Department, chairman of both the Private Equity and Venture Capital practice group and the Family Enterprise Practice Group.

Vice President

Caley Sullivan is a Vice President of align5 and is responsible for providing M&A advisory and valuation services to clients.

Prior to joining align5 advisors, Caley was a Vice President of Investment Banking at Deutsche Bank where he covered the software industry and an Investment Banking Associate in the Media & Communications Group at Morgan Stanley.

Caley was also a co-founder of Tapwage.com, a website that helps users explore career opportunities. Caley began his career as an Analyst at Forest Investment Management, a convertible arbitrage hedge fund.
